1. Acceptance of Terms

By accessing or using the Patnity platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Terms

  • You must provide a valid email address and authenticate via Google sign-in to create an account.
  • You are responsible for maintaining the security of your account and all activity that occurs under it.
  • You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.
  • One person or legal entity may not maintain more than one account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload content that is malicious, fraudulent, or contains malware
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product or service
  • Resell, redistribute, or sublicense access to the Service without our written permission
  • Interfere with or disrupt the integrity or performance of the Service

4. No Legal Advice Disclaimer

Patnity is a technology tool and does not provide legal advice. The AI-generated analyses, claim charts, motivation to combine arguments, and any other outputs produced by the Service are intended to assist qualified patent professionals in their work. They do not constitute legal opinions, patent prosecution advice, or litigation strategy.

All outputs should be reviewed, verified, and validated by a qualified patent attorney or agent before being relied upon in any legal proceeding, filing, or client communication. Patnity assumes no liability for decisions made based on Service outputs.

5. Intellectual Property & Data Ownership

5.1 Your Content

You retain all ownership rights to content you upload to the Service, including patent documents, prior art references, claim text, and any other materials. By uploading content, you grant us a limited license to process, store, and transmit that content solely to provide the Service to you.

5.2 Analysis Outputs

AI-generated analysis outputs (claim charts, motivation arguments, etc.) produced by the Service based on your inputs are yours to use. We do not claim ownership over outputs generated from your content.

5.3 Our Platform

The Patnity platform, including its design, code, algorithms, user interface, and documentation, is owned by Patnity and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

6. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

We reserve the right to update these Terms. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

7. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees as described at the time of purchase. Fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We may change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATNITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Patnity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English in the State of Delaware.

12. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes, after which it will be deleted in accordance with our Privacy Policy.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
